Paid Subscription Terms and Conditions

Welcome to the terms and conditions for Mediation Manager, LLC Paid Subscriptions ("Paid Subscription Terms" or "Terms").

PLEASE READ THESE TERMS CAREFULLY AND IN FULL. THEY CONTAIN CERTAIN CONDITIONS AND RESTRICTIONS ON THE AVAILABILITY AND USE OF PAID SUBSCRIPTIONS, TRIAL ELIGIBILITY, AS WELL AS INFORMATION ON WHAT HAPPENS AFTER YOUR PAID SUBSCRIPTION OR TRIAL COMES TO AN END.

PAID SUBSCRIPTIONS CONTINUE INDEFINITELY AND YOU WILL CONTINUE TO BE CHARGED THE RECURRING SUBSCRIPTION FEE PLUS ANY APPLICABLE TAXES AS ADVERTISED, AND AS AMENDED FROM TIME-TO-TIME, UNTIL YOU CANCEL YOUR ACCOUNT.

WE MAY MODIFY THESE PAID SUBSCRIPTION TERMS (INCLUDING ANY POLICIES) AT ANY TIME BY POSTING A REVISED VERSION ON THE MEDIATION MANAGER, LLC OR BY OTHERWISE NOTIFYING YOU BY SENDING A MESSAGE TO THE EMAIL ADDRESS THEN ASSOCIATED WITH YOUR ACCOUNT. THE MODIFIED TERMS WILL BECOME EFFECTIVE UPON POSTING OR, IF WE NOTIFY YOU BY EMAIL, AS STATED IN THE EMAIL MESSAGE. BY CONTINUING TO USE THE MEDIATION MANAGER, LLC SITE OR ITS CONTENT AFTER THE EFFECTIVE DATE OF ANY MODIFICATIONS TO THESE TERMS, YOU AGREE TO BE BOUND BY THE MODIFIED TERMS. IT IS YOUR RESPONSIBILITY TO CHECK THE MEDIATION MANAGER, LLC SITE REGULARLY FOR MODIFICATIONS TO THESE TERMS. WE LAST MODIFIED THESE TERMS ON THE DATE LISTED AT THE BEGINNING OF THESE TERMS.

1. Introduction.

Paid Subscriptions, as defined in the Mediation Manager, LLC Terms and Conditions of Use ("Terms of Use"), are made available by Mediation Manager, LLC subject to the Terms of Use, which are hereby incorporated by reference, including its Arbitration Agreement.

By purchasing a Paid Subscription, you acknowledge and agree to these Paid Subscription Terms, including the Terms of Use and User Guidelines. Capitalized terms used but not defined herein shall have the same meaning given to them in the Terms of Use. If you purchase a Paid Subscription or begin a Trial (as defined below) directly through Mediation Manager, LLC, we will use your payment details and any other information in accordance with our Privacy Policy.

These Paid Subscription Terms, the Terms of Use and the Privacy Policy along with any other terms referenced in this document should be read carefully. To the extent these Terms conflict with the Terms of Use or Privacy Policy, these Terms shall take precedence to the extent of such conflict.

2. Paid Subscriptions.

You can find descriptions of each Paid Subscription and their features on our website, and we will explain which options are available to you when you create a Mediation Manager, LLC account. Subject to these Paid Subscription Terms, users who purchase a Paid Subscription may access that Paid Subscription for their own business use (and for their group members, where applicable) from the moment they submit their payment details successfully to Mediation Manager, LLC and complete the checkout process.

Paid Subscriptions include, amongst others, subscriptions under the Mediation Manager, LLC Paid Account brand ("Paid Account”), such as Mediation Manager, LLC Single User account ("Single User Paid Account"), Mediation Manager, LLC Group Paid account (“Group Paid Account”) and any other Paid Account offerings made available from time-to-time (each a "Paid Account Plan").

From time-to-time, we may also offer special promotional plans, content or memberships, including offerings of third party products or services in conjunction with or through the Mediation Manager, LLC Service. We are not responsible for the products or services provided by such third parties.

We reserve the right to modify the features and content we provide as part of our Paid Subscriptions from time-to-time and for any reason.

We may withdraw or suspend a Paid Subscription, in whole or in part, at any time and for any reason. After such time, Mediation Manager, LLC shall not be obligated to maintain or permit any further access to such Paid Subscription(s) and subscribers to that Paid Subscription will no longer be charged. Mediation Manager, LLC shall not be obligated to maintain or retain any user data at any point. Mediation Manager, LLC shall not be held responsible for loss of any user data by any means.

Certain Paid Subscriptions may have specific eligibility requirements which you must adhere to in order to be a subscriber. Paid Subscriptions may not be available to all users including, for example, past subscribers who wish to rejoin after their subscription is discontinued by Mediation Manager, LLC.

2.1. Single User Paid Account

"Single User Paid Account"entitles the paying account holder (sometimes referred to as “Subscriber”) to access such Subscriber’s Paid Subscription for the Subscriber’s own business use.

The Single User Paid Account also entitles the Subscriber to designate authorized agent(s) to access such Subscriber’s Paid Subscription for the Subscriber’s own business use. The Subscriber may designate the authorized agent(s) through the Subscriber’s account on our website. The Subscriber is responsible for their authorized agent(s) use of the site and any use by an authorized agent is attributed to the responsible Subscriber.

2.2. Group Paid Account

"Group Paid Account" entitles the paying account holder of the Paid Subscription (the "Primary Account Holder"or sometimes referred to as "Plan Manager"), together with one or more additional subsidiary account holder(s) (each a "Sub-Account Holder" or sometimes referred to as a "Plan Member") to access such Paid Subscription, for their own and each Sub-Account Holder's business use. We may, at our discretion, provide features to the Primary Account Holder that are not available to Sub-Account Holder(s).

Additional Sub-Account Holder(s) may be added to a Group Paid Account at any time the Group Paid Account is active. Upon the addition of Sub-Account Holder(s) to an active Group Paid Account, the new Sub-Account Holder(s) will be charged the then-current subscription fee plus all applicable taxes, prorated for the remaining days of the first month added. Thereafter, the new Sub-Account Holder(s) will be charged on the first day of the billing period for the Group Paid Account to which that Sub-Account Holder was added.

The Group Paid Account also entitles each Primary Account Holder and Sub-Account Holder to designate authorized agent(s) to access their Paid Subscription for the respective Primary Account Holder or Sub-Account Holder’s own business use. The Primary Account Holder or Sub-Account Holder may designate the authorized agent(s) through their account on our website. The Primary Account Holder or Sub-Account Holder is responsible for their authorized agent(s) use of the site and any use by an authorized agent is attributed to the responsible Primary Account Holder or Sub-Account Holder.

If the Primary Account Holder cancels the Group Paid Subscription or the account is otherwise suspended or terminated, the Primary Account Holder and Sub-Account Holder(s) will lose all access to the Mediation Manager, LLC Paid Account plan at the end of the then-current billing period (or as permitted in accordance with clause 2.2.1(C)).

2.2.1 Additional Conditions for Group Paid Subscriptions

A. In order to be eligible for a Group Paid Subscription, the Primary Account Holder and any Sub-Account Holder must be members of or affiliated with the same business entity. Members of a Group Paid Subscription may leave their existing plan and join another Group Paid Subscription a maximum of once in every twelve month period.

B. Upon activation of any Group Paid Subscription account, you will be asked to verify your business entity membership or affiliation.

C. Mediation Manager, LLC reserves the right to terminate or suspend access to a Group Paid Subscription immediately and at any time if you fail to meet the eligibility criteria here and as otherwise set out in the Terms of Use.

D. No other discounts can be applied, unless otherwise advertised.

E. We may from time-to-time ask for re-verification of your business entity membership or affiliation in order to confirm that you are still meeting the eligibility criteria.

F. Note: If you are a holder of a Single User Paid Subscription account, by joining a Group Paid Subscription as a Sub-Account Holder, you acknowledge and agree that no refunds are available for changing from your then-current Paid Subscription before the end of your then-current Paid Subscription period. Upon joining, you will switch immediately to the selected Group Paid Subscription, and your access will remain uninterrupted, but any unused time you've already paid for, including any remaining free or discounted Trial days, under your then-current Paid Subscription will be forfeited.

3. Payment; Cancellation

Paid Subscriptions continue indefinitely until cancelled. You will be billed on a recurring basis on the first day of each billing period and you will pay and you authorize us (or the applicable third party) to charge your payment method the then-current subscription fee plus all applicable taxes.

You may cancel your Paid Subscription at any time by logging into your Mediation Manager, LLC account and following the prompts on the Account page or by clicking here and following the instructions. Unless otherwise indicated, cancellation will take effect from the end of the billing period in which you cancel.

**If you have subscribed to a Paid Subscription that includes an initial trial period, please read section 4.3 below for information on the impact of cancellation during the Trial Period. Your ability to continue to access the Paid Subscription after cancellation during a Trial Period will depend if your trial is a zero-priced trial or involves any cost to you. **

4. Free and discounted trials

From time-to-time, we may offer trials of Paid Subscriptions for a specified period without payment or at a reduced rate (each a "Trial"). Each Trial is made available in connection with a particular Paid Subscription and, in each case, this section on Trials supplements and incorporates by reference the additional terms and conditions for that corresponding Paid Subscription. In case of any conflict with the additional terms and conditions for a Paid Subscription, then this section 4 shall take precedence. Each Trial is made available subject to how it is advertised, and subject to the rules on eligibility, availability, and duration and cancellation set out below.

For some Trials, we'll require you to provide your payment details to start the Trial (which will be stored and processed in accordance with our Privacy Policy). By providing such details you agree that we may automatically begin charging you for the Paid Subscription on the first day following the end of the Trial on a monthly recurring basis or other interval that we will disclose to you in advance, unless you cancel beforehand (see section 3 above with more details on how to cancel). Each Trial provides access to the Paid Subscription advertised:

A. at the price advertised (if any); and

B. for an initial introductory period as further described in section 4.3 below, beginning from the moment that you confirm your purchase of the Trial, by completing the checkout process (the "Trial Period").

4.1 Trial Eligibility.

In order to be eligible for a Trial, users must satisfy all of the following conditions (each an "Eligible User"):

A. Unless you are subscribing to a Trial that is advertised as available to past subscribers, you must be a new subscriber to any and all Paid Subscriptions and not have subscribed to, or accepted a trial of, a Paid Subscription at any time in the past.

B. If you are subscribing to a Trial that is advertised as available to past subscribers, you must have been a subscriber to the relevant Paid Subscription (as advertised) and your subscription must have expired before the date or time frame advertised.

C. In respect of Trials for a Group Paid Subscription: the additional eligibility requirements set out in section 2.2 above shall apply.

D. Unless otherwise advertised, you must provide Mediation Manager, LLC with a valid and current payment method that is approved by Mediation Manager, LLC (prepaid cards are not valid forms of payment).

E. Unless otherwise advertised, you must provide the payment method above directly to Mediation Manager, LLC and not through a third party.

F. Additional eligibility requirements (if any) as advertised from time-to-time in connection with a Trial.

4.2 Trial Availability.

Mediation Manager, LLC will determine your eligibility for a Trial acting reasonably, based on information available to Mediation Manager, LLC. A Trial must be accepted before the applicable offer expiration date advertised, if any. To the extent permitted by applicable law, Mediation Manager, LLC reserves the right to modify, suspend or terminate a Trial at any time and for any reason by notice to you and with no liability, in which case we will not honor subsequent enrollments for that Trial.

4.3 Trial Duration and Cancellation.

In the case of any Trial, the corresponding Trial Period shall continue for the period as advertised, subject to section 4.2, above.

Unless cancelled before the end of the Trial Period, or such Trial is in conjunction with a Prepaid Period, you will automatically become a subscriber to the particular Paid Subscription that you chose to sign up to under the Trial and the payment method you provided will automatically be charged the then-current recurring price on the first day following the end of the Trial on a monthly recurring basis or other interval that we disclose to you in advance (any time-capped features of that Paid Subscription will be reduced by the length of the Trial Period). IF YOU DO NOT WANT TO PAY THIS CHARGE, YOU MUST CANCEL BEFORE THE END OF THE TRIAL BY FOLLOWING THE STEPS DESCRIBED HERE IN SECTION 3.

If you have subscribed to a Paid Subscription that offers an initial trial period at no cost to you (a "Free Trial"): if you cancel a Free Trial during the Trial Period, you will lose access to the Paid Subscription service immediately.

If you have subscribed to a Paid Subscription that offers an initial trial period at any cost to you (a "Paid Trial"): unless otherwise stated, for example during the cancellation process, if you cancel a Paid Trial during the Trial Period, you will lose access to the Paid Subscription service at the end of the Trial Period.

5. Add-On Features.

From time-to-time, Mediation Manager, LLC may make certain add-on services available to Paid Subscription users. The add-on services will have their own terms of use which will apply. We will take reasonable steps to bring these terms to your attention. Certain add-on features may have additional eligibility and payment conditions which, if applicable, will be outlined in the relevant add-on features terms of use.
